1. Acceptance of Terms

Welcome to Eaglecart. By signing up for an Eaglecart account, accessing the Eaglecart website, or using any Eaglecart services (including the Online Store Builder, Point of Sale, Warehouse Management System, and API services), you are entering into a binding legal agreement with Eaglecart ("we", "us", or "our").

By using the Services, you agree to be bound by these Terms of Service. If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity, its affiliates, and all users who access our Services through your account to these Terms. In the absence of such authority, you are not authorized to use the Services.

2. Account Terms & Responsibilities

To access and use the Services, you must register for an Eaglecart account. You agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by our registration forms.

• 2.1 Authorized Representative: The person signing up for the Service will be the contracting party ("Account Owner") for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the Account Owner in connection with the Service.
• 2.2 Security: You are responsible for maintaining the confidentiality of your password and account details. You are fully responsible for all activities that occur under your password or account. Eaglecart cannot and will not be liable for any loss or damage arising from your failure to protect your account security.
• 2.3 Employee Access: If you create accounts for your staff ("Staff Accounts"), you acknowledge that you are responsible for their activity. A breach of these Terms by your Staff will be considered a breach by you.

3. General Conditions

You must read, agree with, and accept all of the terms and conditions contained in these Terms of Service and the Privacy Policy before you may become an Eaglecart user.

• Global Access: Technical support and the Service itself are provided on an "as is" and "as available" basis.
• Service Refusal: We reserve the right to refuse service to anyone for any reason at any time.
• Data Transfer: You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

4. Subscription, Billing, and Taxes

4.1 Subscription Fees: A valid payment method is required for paying accounts. You will be billed in advance on a recurring and periodic basis (such as monthly or annually). Subscription fees are non-refundable.

4.2 Taxes: All fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future ("Taxes"). You are responsible for all applicable Taxes that arise from or as a result of your subscription to or use of Eaglecart’s products and services.

4.3 Chargebacks: If you contact your bank or credit card company to decline, chargeback or otherwise reverse the charge of any payable fees to us ("Chargeback"), we may automatically terminate your Account.

5. Intellectual Property & Content

5.1 Your Content: We do not claim any intellectual property rights over the material you provide to the Service. All materials you upload remain yours. You can remove your Eaglecart store at any time by deleting your account.

5.2 License to Host: By uploading Content, you agree: (a) to allow other internet users to view the Content you post publicly to your Store; (b) to allow Eaglecart to store, and in the case of Content you post publicly, display and use your Content; and (c) that Eaglecart can, at any time, review and delete all the Content submitted to its Service, although Eaglecart is not obligated to do so.

5.3 Eaglecart IP: You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Eaglecart. You may not use the Eaglecart logo or trademarks without written consent.

6. POS & Warehouse Management (WMS) Terms

Merchants utilizing our operational tools acknowledge the specific nature of hardware and software dependencies:

• Hardware Compatibility: You are responsible for ensuring that your hardware (scanners, tablets, receipt printers) meets the minimum requirements of the Service. Eaglecart makes no warranty that third-party hardware will function error-free with the Platform.
• Offline Mode & Connectivity: The Service requires a persistent internet connection to synchronize inventory. Eaglecart is not liable for data conflicts, inventory discrepancies, or lost sales resulting from network outages, weak Wi-Fi, or local ISP failures.
• Inventory Accuracy: While the WMS acts as a tool to record stock, you remain solely responsible for the physical accuracy of your inventory. Eaglecart is not liable for shrinkage, theft, or accounting errors based on system data.

7. Artificial Intelligence (AI) Services

Eaglecart offers various AI-driven features, including automated product descriptions, pricing suggestions, and chatbot support.

Disclaimer of Warranty for AI: You acknowledge that Artificial Intelligence is probabilistic and may produce inaccurate, offensive, or hallucinated outputs. It is your sole responsibility to review and edit any content generated by the AI before it is published to your store. Eaglecart assumes no liability for any legal claims, customer disputes, or pricing errors resulting from unreviewed AI-generated content.

8. Prohibited Uses

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content:

• (a) for any unlawful purpose;
• (b) to solicit others to perform or participate in any unlawful acts;
• (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;
• (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
• (e) to submit false or misleading information;
• (f) to upload or transmit viruses or any other type of malicious code;
• (g) to sell restricted items such as weapons, illegal drugs, or counterfeit goods.

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

9. Cancellation and Termination

You may cancel your Account at any time by following the instructions in your Eaglecart dashboard.

Data Retention: Upon termination of the Services by either party for any reason:

• Eaglecart will cease providing you with the Services and you will no longer be able to access your Account;
• unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise;
• any outstanding balance owed to Eaglecart for your use of the Services through the effective date of such termination will immediately become due and payable in full; and
• your Store website will be taken offline. We strongly recommend exporting all data prior to cancellation.

10. Limitation of Liability

You expressly understand and agree that, to the extent permitted by applicable laws, Eaglecart shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.

In no event shall Eaglecart or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or these Terms of Service (however arising including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Eaglecart partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees.

11. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, without regard to principles of conflicts of laws. You agree to submit to the exclusive jurisdiction of the courts located within Dubai, UAE.

12. Modifications to the Service and Prices

Prices for using the Services are subject to change upon 30 days’ notice from Eaglecart. Such notice may be provided at any time by posting the changes to the Eaglecart Site or the administration menu of your Eaglecart Store via an announcement.

Eaglecart reserves the right at any time, and from time to time, to modify or discontinue, the Service (or any part thereof) with or without notice. Eaglecart shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
