Terms of Service

Welcome to Eaglecart.
These Terms of Service ("Terms") govern your access to and use of the Eaglecart platform, websites, applications, software, services, APIs and related technologies (together, the "Services").
By creating an account, accessing, browsing, purchasing or using any Eaglecart Services, you agree to be legally bound by these Terms.
1. Acceptance of Terms
By using Eaglecart, you agree to comply with these Terms.
If you are entering into these Terms on behalf of a company or organisation, you confirm that you have authority to bind that entity.
If you do not agree to these Terms, you must not use the Services.
2. Documents That Form Part of These Terms
These Terms incorporate, and should be read together with, the following documents. By agreeing to these Terms you also agree to each of them:

- The Security Policy
A breach of the Acceptable Use Policy is a breach of these Terms.
3. Definitions
Eaglecart
Eaglecart FZC, its affiliates, subsidiaries, employees, contractors, successors and assigns.
Merchant
Any individual, company or organisation using the Services.
Account
A registered Eaglecart account.
Store
Any website, online store, workshop portal, customer portal or digital property created using Eaglecart.

4. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement.
The Services are intended primarily for business use.
5. Account Registration
You agree to provide accurate information, keep it updated, use the Services lawfully, and ensure users under your account comply with these Terms.
Eaglecart may suspend or terminate accounts containing false or misleading information.
6. Account Security
You are responsible for protecting your login credentials, restricting unauthorised access, and all activity performed under your account.
You must notify Eaglecart immediately of any suspected security breach.
7. Staff Accounts
The account owner may create additional accounts for employees and authorised users, and remains responsible for user permissions, user activity and compliance with these Terms.
A violation by a staff account is a violation by the account owner.
8. Merchant Responsibilities
Merchants are solely responsible for:
Business operations
Operating their business in compliance with applicable laws.
Products and services
Product descriptions, pricing, fulfilment, warranties and legality.
Customer relationships
Customer communication, refunds, disputes and support.
Financial records
Invoices, quotations, taxes and accounting records.
Data accuracy
Inventory, customer records, vehicle records, pricing and operational data.
Eaglecart provides software tools only and is not responsible for business decisions or operational outcomes. Eaglecart is not the seller of record.
9. Compliance with Laws
Merchants must comply with all applicable laws, including UAE law, VAT regulations, consumer protection law, privacy law, intellectual property law and ecommerce regulations.
10. Subscription Plans, Renewal and Cancellation
Eaglecart offers multiple subscription plans. Features and limits vary by plan.
Renewal
Subscriptions renew automatically at the end of each billing period, at the then-current price, unless you cancel before renewal.
Cancellation
You may cancel at any time from your account settings, or by contacting support. Cancellation takes effect at the end of your current billing period, and you keep access until then.
Price changes
We may change our prices. We will give you at least 30 days written notice before a price change affects you, and you may cancel before it takes effect.
Downgrades
If you downgrade, the change will normally take effect at the start of the next billing period. Features, limits and functionality available only under the higher plan may be restricted or disabled. You are responsible for exporting or adjusting data and configurations before the downgrade. Eaglecart does not guarantee continued access to features required to view or use data associated with a higher plan.
11. Free Trial
Eaglecart may offer a free trial, free plan or promotional access period. The duration, included features and usage limits will be shown when you sign up.
Unless clearly stated otherwise during signup, no payment card is required to begin a free trial and the trial will not automatically convert into a paid subscription. To continue using paid features after the trial, you must choose a paid plan and provide a valid payment method.
If you do not subscribe after a trial ends, access to paid features may be restricted. Eaglecart may retain your account data for a limited period to allow reactivation, after which it may be deleted in accordance with these Terms and our Privacy Policy.
12. Billing and Payments
Paid subscriptions require a valid payment method.
Subscription fees are billed in advance and are non-refundable except where required by law.
Failure to pay may result in suspension or termination of your account.
If a payment fails, Eaglecart may retry the payment method and notify you. Unless immediate action is required for fraud, security or legal reasons, Eaglecart will generally allow a grace period of up to seven (7) days before suspending paid features. Continued non-payment may result in suspension or termination.
13. Taxes and VAT
Fees do not include applicable taxes unless stated otherwise.
Merchants are responsible for all taxes, VAT, duties and government fees associated with their business activities.
14. Ecommerce Services
Eaglecart provides tools for operating online stores. Merchants remain solely responsible for products, pricing, inventory, shipping, refunds, customer support and legal compliance.
Eaglecart is not the seller of record.
15. POS Services
Eaglecart provides Point of Sale functionality. Merchants are responsible for hardware, printers, barcode scanners, cash handling and internet connectivity.
Eaglecart is not responsible for third-party hardware failures.
16. Warehouse Management
The WMS assists with inventory tracking and warehouse operations. Merchants remain responsible for physical inventory counts, stock accuracy, inventory audits and inventory valuation.
17. Workshop Management
Eaglecart provides tools for garages and workshops. Merchants remain responsible for vehicle information, repairs, labour charges, warranties, service quality and customer approvals.
Eaglecart does not provide technical or mechanical advice.
18. Quotations and Invoicing
Merchants are responsible for all quotations, invoices, taxes, pricing and financial records created using the Services. Eaglecart does not provide accounting, tax or legal advice.
Unless Eaglecart expressly confirms otherwise in writing for a specific feature or plan, documents created through the Services are software-generated records and are not guaranteed to satisfy every tax, electronic-invoicing, accounting or regulatory requirement applicable to your business. You remain responsible for appointing any accredited service provider and completing any registration, reporting or transmission required by law.
19. Artificial Intelligence
AI-generated content may be inaccurate or incomplete.
Merchants must review and verify all AI-generated content before use.
Eaglecart is not responsible for business decisions based on AI-generated output.
AI-generated output may contain errors, omissions, bias, inappropriate material or content that may conflict with third-party rights. You must independently review, verify and edit all output before publishing, sending or relying on it.
You must not submit confidential, sensitive or personal information to an AI feature unless you are authorised to do so and the feature is intended for that purpose.
20. Website Builder and Home Editor
Merchants are responsible for all content, pages, layouts, designs, images and configurations created using Eaglecart.
Eaglecart does not guarantee search rankings, sales, traffic or business growth.
21. Intellectual Property
Eaglecart owns the platform: the software, the Services, our trademarks, our designs and all associated intellectual property. Nothing in these Terms transfers any of that to you.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your business during your subscription.
You own your content. By uploading content to Eaglecart, you grant us the limited licence we need to host, store, back up, display and transmit it in order to provide the Services to you. That licence ends when you delete the content or close your account, except where we must retain it by law.
You must not copy, resell, sublicense, reverse engineer or create derivative works from the Services.
22. Data Ownership
Merchants retain ownership of their business data, including customers, orders, products, inventory, quotations, invoices and workshop records.
Eaglecart does not claim ownership of merchant data.
23. Service Availability
Eaglecart works to provide reliable service but does not guarantee uninterrupted operation.
Maintenance, outages, third-party failures and force majeure events may affect availability.
24. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied.
We do not warrant that the Services will be uninterrupted, error-free or secure, that defects will be corrected, or that the Services will meet your requirements or produce any particular business result.
25. Limitation of Liability
To the maximum extent permitted by law, Eaglecart shall not be liable for lost profits, lost revenue, lost customers, lost inventory, data loss, business interruption, or any indirect or consequential damages.
Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited.
In any event, Eaglecart's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total subscription fees actually paid by you to Eaglecart during the twelve (12) months immediately preceding the event giving rise to the claim.
26. Indemnity
You agree to indemnify and hold Eaglecart harmless from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising from:
- Your use of the Services
- Your products, services, content or storefront
- Your breach of these Terms or of the Acceptable Use Policy
- Your breach of any law, including consumer protection and data protection law
- Any dispute between you and your customers, staff or suppliers
27. Force Majeure
Neither party is liable for failure or delay in performing its obligations where that failure or delay is caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, government action, power or telecommunications failures, internet outages, or failures of third-party infrastructure providers.
28. Suspension and Termination
You may terminate at any time by cancelling your subscription and closing your account.
We may suspend or terminate your account where you breach these Terms or the Acceptable Use Policy, engage in fraud or illegal activity, threaten platform security, create legal or operational risk, or fail to pay.
Where reasonably possible, we will give you notice and an opportunity to fix the problem before we suspend or terminate. Where the law, security or an ongoing harm requires immediate action, we may act without notice.
On termination: you may export your business data for 30 days from the date of termination. After that, your data may be permanently deleted. We may retain certain data where the law requires it.
29. Changes to These Terms
We may update these Terms. Where a change is material, we will give you reasonable notice by email or through the platform before it takes effect.
If you continue to use the Services after a change takes effect, you accept the revised Terms. If you do not accept them, you may cancel your subscription.
30. Third-Party Services and Integrations
The Services may connect with or depend on independent providers, including payment gateways, banks, couriers, messaging services, domain registrars, app stores, cloud providers, social networks and other integrations.
Your use of a third-party service is governed by that provider's terms and policies. Eaglecart does not control and is not responsible for the availability, performance, acts, omissions, security, pricing, data practices or continued operation of third-party services.
31. Payment Processing
Customer payments are processed by independent payment service providers selected or enabled by the merchant. Eaglecart is not a bank, payment institution, acquirer or money transmitter and does not guarantee approval, settlement, chargeback outcomes or uninterrupted payment processing.
Unless expressly stated otherwise, Eaglecart does not store full payment card numbers or card security codes. Merchants are responsible for complying with the requirements of their payment providers and applicable payment-security standards.
32. Domains, Email and Communications
Domain registration and renewal may be provided through third-party registrars. You are responsible for accurate registration details, renewal fees and compliance with registrar and registry rules. Eaglecart is not responsible for the loss, suspension, expiry or transfer of a domain caused by non-payment, incorrect information or third-party action.
Email, SMS, WhatsApp and other communications depend on third-party networks and recipient systems. Eaglecart does not guarantee delivery, inbox placement, timing or receipt.
33. Backups and Data Exports
Eaglecart may maintain operational backups for service continuity, but backups are not a substitute for your own records. You remain responsible for exporting and maintaining independent copies of important business, tax, accounting, customer and operational data.
34. Beta Features, APIs and Usage Limits
Beta, preview, early-access and experimental features are provided "as is", may be incomplete or changed, and may be withdrawn at any time.
Eaglecart may apply reasonable technical limits, API rate limits, storage limits and fair-use controls to protect the security, stability and availability of the Services. APIs and integrations may be changed, restricted or discontinued.
35. No Professional Advice
Eaglecart provides software and technology tools only. Nothing in the Services constitutes legal, tax, accounting, financial, regulatory, mechanical, medical or other professional advice. You should obtain independent professional advice where appropriate.
36. Merchant Content and Rights
You represent and warrant that you own or have all permissions, licences and rights required to upload, display, process and use your content, including names, trademarks, logos, images, videos, descriptions, customer information and documents.
You are responsible for ensuring that your content does not infringe intellectual property, privacy, publicity or other rights and does not violate applicable law.
37. Sanctions, Trade Controls and Restricted Parties
You must not use the Services in violation of applicable sanctions, export controls, import restrictions, anti-money-laundering requirements or trade laws. Eaglecart may restrict, suspend or terminate access where reasonably necessary to comply with law or the requirements of its service providers.
38. General
Entire agreement
These Terms, together with the documents listed in section 2, form the entire agreement between you and Eaglecart, and replace any earlier understanding.
Severability
If any provision is found to be unenforceable, the rest of these Terms remain in force.
No waiver
If we do not enforce a right, we do not waive it.
Assignment
You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
Notices
We will send notices to the email address on your account. It is your responsibility to keep it current. You should send notices to us at [email protected].
Language
These Terms may be made available in English and Arabic. If there is any inconsistency, the Arabic version shall prevail to the extent required by applicable UAE law.
39. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Sharjah.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of the Emirate of Sharjah, United Arab Emirates.
